Background

This is an interim order, not a final judgment. Land belonging to a company in liquidation had attracted offers far below later valuation evidence. A dispute over the sale reached the Supreme Court, where the number of plots actually available for sale required clarification. With the bidders' agreement, the Court conducted bidding for 113 available plots and obtained an offer of Rs. 70 crore from Star & Associates.

Decision Breakdown

This is an interim order, not a final judgment. The Court directed the successful bidder to deposit Rs. 20 crore by the end of November 2014 and another Rs. 40 crore by 15 March 2015, in addition to its Rs. 10 crore already deposited. Once those payments were completed, the money and interest were to go to the Official Liquidator. Failure to comply, or a request for extension, would trigger forfeiture of the initial deposit and interest under the terms accepted by the bidder. Other bidders' deposits were to be refunded, while disputed plots and further applications remained for later proceedings. The Court stressed that a fair liquidation sale must protect the value available for workers, creditors and statutory dues, and kept these petitions pending.

Lesson Learnt

A liquidation auction must safeguard the value of company assets for those entitled to payment. A successful bidder must comply with the court's deposit deadlines and forfeiture conditions rather than assume further time will be available.
