Background

Inventory proceedings were initiated in 1985 in Goa under the Portuguese Civil Procedure Code to partition the estate of a deceased couple among their six heirs. One disputed property (Item No.1) went to auction ("licitation") twice; in the second auction in 2004-05, heir Hermano was the highest bidder for over Rs. 34 lakh but died in 2008 without ever depositing the bid amount, since no formal demand for payment had yet been made against him. The appellant sought a fresh auction, arguing Hermano's bidding right died with him, but the trial court agreed with her while the District Judge and the Bombay High Court (Goa Bench) both ruled that the right passed to Hermano's legal heirs.

Decision Breakdown

The Supreme Court held that under Article 1417(c) of the Portuguese Civil Code, an unsuccessful demand for the owelty (equalization) money does not automatically invalidate a licitation — payment only becomes due once another heir formally demands it, and no such demand had ever been made against Hermano before his death. The Court further held that Hermano's right as the successful bidder was not a purely "personal right" extinguished by death but a heritable property right/entitlement under Article 1737 of the Code, since he held that position as a family member and Cabeca de Casal, not in any personal capacity. Finding the High Court's reasoning sound, the Supreme Court dismissed the appeals, holding that Hermano's bidding rights and corresponding payment obligation passed on to his legal heirs.

Lesson Learnt

Rights and obligations arising from a successful bid in family partition/auction proceedings are generally heritable by the bidder's legal heirs unless they are purely personal in nature, and procedural timelines for payment (like a 3-day demand period) only start running once a formal demand is actually made — not automatically after the auction.
