Background

This order does not decide the main case. Two business groups joined to develop land in Kasauli through Montreaux Resort Pvt. Ltd., but their project stalled amid disputes about shareholding and board appointments. A minority-oppression petition generated further litigation over interim orders, alleged forged meeting minutes and contempt. Both sides eventually accepted that early determination of the main company petition offered a practical way forward.

Decision Breakdown

This is not a final decision on the main case. The Court directed the Company Law Board to decide the company petition within six months, including the disputed board meetings and the pending request concerning allegedly forged minutes. It declined to settle all the parties' numerous disputes through its exceptional constitutional power, because the competing claims needed adjudication. Related High Court proceedings were to give way to the Board's determination. Pending that decision, neither the specified Board nor High Court interim order would be enforced, and the existing position was to be maintained, with urgent interim relief available from the Board. The Supreme Court petitions and pending applications were disposed of without deciding the underlying ownership or forgery allegations.

Lesson Learnt

When several proceedings turn on the same disputed company control, resolving the main company petition can prevent conflicting interim litigation. This order supplied a coordinated procedure; it did not establish that either group's allegations about shares or forged documents were true.
