Background

A dispute arose over a Rs. 425 crore facilitation-fee agreement connected with IPL broadcasting rights. The agreement provided for ICC arbitration in Singapore, but the broadcaster alleged fraud and sought relief in the Bombay High Court. The Division Bench restrained arbitration, relying on the fraud allegations, related litigation and its view of the agreement's validity.

Decision Breakdown

The Supreme Court allowed the appeal, reversed the Division Bench and restored the Single Judge's order permitting arbitration. Although the Indian court had jurisdiction to entertain the suit, Section 45 required respect for the foreign-arbitration agreement unless that agreement was null and void, inoperative or incapable of performance. Allegations that the main transaction involved fraud did not themselves invalidate the separate arbitration clause. Related Indian litigation and general public-policy objections did not supply additional grounds for refusing referral under that provision. The Court left the truth and effect of the alleged fraud for the arbitrator and did not decide that the facilitation fee was validly owed.

Lesson Learnt

A dispute over alleged fraud in a commercial transaction can still belong in the agreed international arbitration. The agreement to arbitrate must be assessed separately from the disputed transaction, and referral does not mean the allegations have been rejected on their merits.
