Navodaya Mass Entertainment Ltd. v. J.M. Combines
Background
An amusement park operator agreed that J.M. Combines would install and operate a SLAMBOB ride, sharing revenue under a ten-year arrangement with minimum guaranteed collections. When payments stopped, an arbitrator awarded ₹13,94,240 with 12% interest. The park operator challenged the award and the High Court's decision upholding the claim.
Decision Breakdown
The Supreme Court dismissed the appeals. The contractual payment obligations and the arbitrator's assessment supplied no reason for judicial interference. A court reviewing an arbitral award cannot simply reconsider the evidence and substitute its preferred view where the arbitrator's view is legally sustainable. The operator's new arguments about an invalid or one-sided contract and termination by conduct had not been raised before the High Court. It had never terminated the agreement or requested removal of the machinery.
Lesson Learnt
A business should raise contractual objections promptly and follow agreed termination steps; disagreement with an arbitrator's assessment alone does not justify setting aside an award.
