M/S Saisudhir Energy Ltd. v. M/S NTPC Vidyut Vyapar Nigam Ltd.
Background
Under the national solar mission, a developer missed its 20 MW commissioning deadline by two to five months. A split Arbitral Tribunal, a Single Judge, and a Division Bench each reached different compensation figures (₹1.2 crore to ₹27.06 crore to ₹20.70 crore).
Decision Breakdown
Because the project served the public interest, the buyer did not need to prove actual loss to claim liquidated damages: the burden fell on the breaching developer to show no loss occurred. The Single Judge's ₹27.06 crore modification under Section 34 was valid; the Division Bench exceeded its narrow Section 37 appellate power by substituting its own view. The Single Judge's award was restored.
Lesson Learnt
In public-interest project contracts, a breaching party bears the burden of proving no loss occurred; once a court validly modifies an award under Section 34, an appellate court cannot re-modify it just because it prefers a different number.
