KSL & Industries Ltd. v. Arihant Threads Ltd.
Background
After Arihant Threads defaulted on an industrial loan, its assets were auctioned in debt-recovery proceedings and KSL became the purchaser. Arihant later sought protection through the statutory industrial-rehabilitation process. The High Court stopped recovery, prompting an appeal and a larger-bench reference about which legislation prevailed.
Decision Breakdown
The Court held that Section 22 of the Sick Industrial Companies Act could suspend proceedings under the bank debt-recovery law when its statutory conditions were met. The debt-recovery law expressly preserved the industrial-rehabilitation law, so its general overriding clause did not remove that protection. Nevertheless, the Court allowed KSL's appeal and set aside the High Court's order in this particular dispute. It retained the earlier bench's result that the company could not use the later rehabilitation reference to undo recovery proceedings already concluded in the purchaser's favour.
Lesson Learnt
Under the laws considered in this 2014 judgment, rehabilitation protection depended on both the statutory conditions and the timing of recovery. Seeking protection later did not automatically undo a completed recovery sale.
