Kerala Land Reforms & Development Co-operative Society Limited vs The District Registrar (General) & Anr.
Background
Several co-operative societies and their members in Kerala executed sale deeds (some by society members in favour of the society, and others by the society in favour of individual members) and claimed remission (exemption/reduction) of stamp duty on these documents. They relied on an older government order (S.R.O. No. 75 of 1960) which granted remission for instruments executed by a society, its officers, or even by a member "in his own capacity" relating to the society's business. The Full Bench of the Kerala High Court held that this benefit was not available on the facts of these transactions, applying the narrower wording of Section 40 of the Kerala Stamp Act, 1959 as it stood under the Kerala Co-operative Societies Act, 1969. The societies and members appealed to the Supreme Court.
Decision Breakdown
The Supreme Court compared the old 1960 order's language with Section 40 of the 1969 Kerala Act and found a critical difference: the 1969 Act's remission provision does not cover instruments executed by "a member in his own capacity" (only instruments executed by or on behalf of the society, or by an officer/member specifically relating to the society's business, where the society/officer/member would otherwise have been liable for the duty). Because the 1960 order's broader wording conflicted with the later 1969 Act, the Court held the 1960 order was not preserved or deemed continued under the newer law. Applying the stricter 1969 Act language, the Court found the sale deeds in question did not qualify for remission, agreed with the Kerala High Court's Full Bench, and dismissed all the appeals.
Lesson Learnt
When an older exemption order and a later statute conflict, the later statute's specific wording controls: a party cannot claim a tax or duty exemption based on an earlier, more generous rule once a subsequent law narrows that exemption's scope, even if the older order was never formally repealed.
