Purnima Manthena v. Dr. Renuka Datla
Background
This order sends the case back; it does not decide the dispute. The case concerns control of the board of a family-run pharmaceutical company and the validity of board meetings and resolutions of 2013. The High Court had recorded findings on 15 April 2015 in Company Appeal No. 17 of 2014.
Decision Breakdown
This is not a final decision on the dispute. The Court set aside the High Court's findings, holding that the High Court had in effect decided the merits at the interim stage, which was a matter for the Company Law Board. It sent Company Petition No. 36 of 2014 back to the Board to be decided on merits, without giving any final opinion on the rival claims. It kept the existing board arrangement in place until further orders, directed that the civil suit proceed with expedition, and expunged one averment from a counter-affidavit.
Lesson Learnt
There is no final ruling yet on who should control the company. A court hearing an appeal at the interim stage should not decide the merits that belong to the Company Law Board.
